AnonyMouse_25678 Posted April 23, 2017 Share Posted April 23, 2017 I have just gone into a state of panic - I bought the pre-school I managed last year to save it from closing and set up a Ltd Company - the Parish Hall who I lease land off to locate the building are insisting that I am a CIC not a Ltd company. I have sent all the forms off to change over and just had a panic that it will mean re-registering again with Ofsted - not sure I can face the 'Suitability Interview' again. Does anyone know? FSFRebecca Posted April 24, 2017 Share Posted April 24, 2017 Good morning, I've had a look through the registration requirements and I can't find a definitive answer for you. If you change 'legal entity' ie from Ltd to CIC you would need to reregister (p26, para 124/5). However, if you are already known and 'vetted' it may transfer over without additional checks (p25, para 114/116/117/118) Registration process Have you phoned Ofsted and asked them? You say your are a LTD company have you checked with your accountant that you can change over with your setup? I too would give ofsted a ring ...you shouldn't need to do another suitable person check but you do need to inform them of changes effecting the business (and companies house /professional organisations ) 1 Quote Link to comment Share on other sites More sharing options...

Believe me I have battled, currently to the cost of over £2000 but with no alternative to relocate I have no other option. Having done a lot of research it is not too onerous a task to change so I have made my application - next hurdle Ofsted. I have emailed Ofsted - always like to get the response in writing. I'm following this very closely, I seem to be in the same situation as you. I'm thinking of registering as a charity group but I haven't a clue were to start it all happening to quickly. A CIC allows just one Director and although you do not have charitable status the memorandum states that profits (lol) are kept in the business and 'assets' are locked and can only be transferred to similar organisation. Thank-you, thank-you thank-you ((((Hugs))))) It's all turning into a bit of a nightmare - and the more I'm looking the more confused I'm getting!! Sounds like the CIC is what we need to go for - I want to run it as a 'not for profit' - but I didn't want to go down the trustee/committee route. Our LA is having a major 'cabinet reshuffle' at the moment - so although they are trying to give support I think they are all worried about their own jobs too at the moment. (fully understandable).
